1.Acceptance of Terms
By creating an account, downloading the installer, activating a license, or otherwise using OIdea Code Factory, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Policies & Disclaimers, and any additional guidelines or rules referenced herein. These Terms constitute a legally binding agreement between you and OIdea.ai. Your continued use of the product after any modifications to these Terms constitutes acceptance of those modifications. We reserve the right to update these Terms at any time without prior notice. It is your responsibility to review these Terms periodically.
2.Product Provided "As Is"
OIDEA CODE FACTORY IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS. WE DO NOT WARRANT THAT THE PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE PRODUCT REMAINS WITH YOU. No oral or written information or advice given by OIdea.ai or its representatives shall create a warranty or in any way increase the scope of obligations beyond what is expressly set forth in these Terms.
3.Customer Responsibility for LLM Keys, Licenses & Credentials
OIdea Code Factory is a wrapper tool that integrates with third-party AI services using YOUR OWN API keys, sessions, licenses, and credentials. You are solely and entirely responsible for: (a) obtaining and maintaining valid licenses and subscriptions with AI providers such as Anthropic (Claude), OpenAI (GPT), Google (Gemini), xAI (Grok), or any other provider; (b) safeguarding your API keys, tokens, session cookies, credentials, and any other authentication materials; (c) ensuring that your usage of AI services through Code Factory complies with each provider's terms of service, acceptable use policies, and rate limits; (d) any costs, charges, or fees incurred through your AI provider accounts as a result of using Code Factory. OIdea.ai has absolutely no access to, control over, or responsibility for your third-party credentials. If your credentials are compromised, leaked, misused, or revoked due to your use of Code Factory or any other reason, OIdea.ai bears no liability whatsoever. You must treat your API keys and credentials as highly sensitive information and implement appropriate security measures to protect them.
4.No Refund Policy
ALL SALES ARE FINAL. OIdea.ai maintains a strict no-refund policy. Once a purchase is completed, no refunds will be issued under any circumstances, including but not limited to: (a) dissatisfaction with the product's features, quality, or output; (b) inability to use the product due to system incompatibility, hardware limitations, or software conflicts; (c) changes in your business needs or priorities; (d) failure to achieve desired results from AI-generated code; (e) account suspension or termination due to Terms violations; (f) discontinuation of third-party AI services you relied upon. All payments and taxes are processed and managed by our third-party payment processor, Paddle. OIdea.ai has no obligation to process refunds through Paddle or any other means. By purchasing, you expressly acknowledge and agree to this no-refund policy. We strongly encourage you to use the Free plan to thoroughly evaluate Code Factory before making any purchase decision.
5.Assumption of Risk
You expressly understand and agree that your use of OIdea Code Factory is at your sole risk. Without limiting the generality of the foregoing, you assume all risks related to: (a) the quality, accuracy, completeness, and reliability of AI-generated code, configurations, and deployments; (b) any bugs, errors, vulnerabilities, or security flaws in generated output; (c) data loss, corruption, or unauthorized access resulting from the use of the product; (d) any downtime, interruption, or unavailability of the product or third-party services it depends on; (e) compatibility issues with your operating system, hardware, network, Docker installation, or any other software on your machine; (f) any financial losses, lost profits, lost data, or consequential damages arising from the use or inability to use the product; (g) any legal consequences arising from the deployment of AI-generated code in production environments. You acknowledge that AI-generated code may contain errors, security vulnerabilities, or non-optimal patterns, and you are solely responsible for reviewing, testing, and validating all output before deploying it to any environment.
6.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OIDEA.AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT OIDEA.AI WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PRODUCT EXCEED THE AMOUNT YOU PAID TO OIDEA.AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS LESS. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
7.Indemnification
You agree to indemnify, defend, and hold harmless OIdea.ai, its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, fines, penalties, and expenses (including but not limited to attorney's fees and legal costs) arising from: (a) your use or misuse of OIdea Code Factory; (b) your violation of these Terms; (c) your violation of any third-party rights, including AI provider terms of service, intellectual property rights, or privacy rights; (d) any content or code generated, modified, or deployed using the product; (e) your failure to secure your API keys, credentials, or other sensitive information; (f) any claim by a third party related to your use of the product. This indemnification obligation shall survive the termination of these Terms and your use of the product.
8.Intellectual Property & License Grant
OIdea.ai grants you a limited, non-exclusive, non-transferable, revocable license to use OIdea Code Factory subject to these Terms and your active subscription. All intellectual property rights in and to the product, including its source code, design, architecture, documentation, and branding, remain the exclusive property of OIdea.ai. You may not: (a) copy, modify, distribute, sell, lease, sublicense, or create derivative works of the product; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the product; (c) remove, alter, or obscure any proprietary notices, labels, or marks; (d) use the product to build a competing service; (e) share your license or credentials with any other person or entity. Code generated by Code Factory using your prompts and your AI provider sessions belongs to you, subject to the terms and conditions of the AI providers whose services were used in the generation process.
9.Termination & Suspension
OIdea.ai reserves the right to suspend or terminate your account, license, and access to the product at any time, with or without cause, with or without notice, and without any obligation to refund any fees paid. Grounds for termination include but are not limited to: (a) violation of these Terms; (b) suspected or confirmed abuse of the product; (c) use of the product for illegal purposes; (d) sharing, redistributing, or reselling the product or your license; (e) activating the license on more devices than permitted by your plan; (f) chargebacks or payment disputes; (g) any behavior that OIdea.ai, in its sole discretion, deems harmful to the company, other users, or third parties. Upon termination, all rights granted to you under these Terms immediately cease. You must immediately stop using the product and delete all copies from your devices.
10.Product Changes & Versions
OIdea Code Factory goes through multiple versions and updates. We reserve the right to, at any time and without notice: (a) modify, update, or discontinue any features or functionality; (b) change system requirements or compatibility; (c) alter pricing for future subscription periods; (d) introduce, modify, or remove plans and tiers; (e) change the architecture, APIs, or technical implementation of the product. By using the product, you agree not to file complaints, lawsuits, arbitration claims, or compensation demands regarding any changes to the product, its features, or statements made by the company or its representatives. You acknowledge that the product is continuously evolving and that changes are inherent to the nature of software products.
11.System Compatibility & Technical Requirements
OIdea Code Factory requires specific system configurations including but not limited to Docker, Docker Compose, adequate RAM and CPU, virtualization support, and available network ports. The product may not be compatible with your system. It may function correctly initially and subsequently fail due to factors outside our control, including but not limited to: operating system updates, security patches, hardware changes, Docker version changes, network configuration changes, antivirus or firewall interference, third-party software conflicts, or disk space limitations. OIdea.ai assumes absolutely no responsibility for any compatibility issues. We do not provide free technical support for installation, configuration, or troubleshooting. If you require assistance, you must purchase a paid support plan through our homepage. You are solely responsible for ensuring your system meets the requirements and maintaining a compatible environment.
12.Data & Privacy
For local installations (Free and Paid plans), OIdea Code Factory processes data locally on your machine. We collect minimal telemetry including license validation heartbeats, activation status, and basic usage metrics. We do not access, read, or store your source code, prompts, or AI-generated output for local installations. For Cloud plans, your data is processed on OIdea.ai managed infrastructure, and standard data handling practices apply. You are responsible for backing up your own data. OIdea.ai is not liable for any data loss, corruption, or breach resulting from your use of the product, your failure to implement adequate security measures, or any third-party actions. By using the product, you consent to the collection of the telemetry data described above.
13.Third-Party Services & Dependencies
OIdea Code Factory depends on and integrates with numerous third-party services, including but not limited to AI providers (Anthropic, OpenAI, Google, xAI), payment processors (Paddle), cloud infrastructure providers, container registries, DNS services (Cloudflare), and various open-source software components. OIdea.ai has no control over and assumes no responsibility for the availability, accuracy, reliability, or policies of any third-party services. Changes to third-party services, including pricing changes, API modifications, terms of service updates, or service discontinuations, may affect the functionality of Code Factory. OIdea.ai is not liable for any issues arising from third-party service disruptions or changes.
14.Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OIdea.ai is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or your use of the product shall be resolved exclusively through binding arbitration in accordance with the rules of a recognized arbitration institution, unless otherwise required by applicable law. You waive any right to participate in class action lawsuits or class-wide arbitration against OIdea.ai. Each party shall bear its own costs and expenses in connection with any dispute resolution proceedings.
15.Severability & Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. These Terms, together with the Policies & Disclaimers and any other documents incorporated by reference, constitute the entire agreement between you and OIdea.ai regarding the use of OIdea Code Factory and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
